Terms of Service

1. Acceptance of Terms
By accessing or using the TaxChat platform or the Tracker mobile application (collectively, the "Service"), you agree to be bound by these Terms of Service. If you do not agree, you must immediately cease using the Service.
2. Nature of the Service
Technology Provider: TaxChat Australia Pty Ltd (ABN 38 694 746 711) is a technology provider. We provide an AI-driven orchestration engine and data-gathering tools to assist in the preparation of tax returns.
No Tax Advice: TaxChat is not a tax agent and does not provide tax, legal, or financial advice. The AI-generated estimates and categorizations are for informational purposes only.
The Human-in-the-Loop: All tax returns prepared via the Service are reviewed and lodged by a Registered Tax Agent. You are responsible for verifying the accuracy of all data and information entered in the platform and provided to the agent.
3. User Accounts & Responsibilities
- Accuracy: You warrant that all information you provide (receipts, income, TFNs, etc.) is accurate and complete.
- Security: You are responsible for maintaining the confidentiality of your account credentials. You must notify us immediately of any unauthorized access.
- Eligibility: You must be at least 18 years of age and a resident of Australia for tax purposes to use the Service.
4. Subscriptions & Payments
Tracker Subscription: Access to premium features (e.g. unlimited AI-OCR scans and automatic synchronization with Tax Chat) requires a paid subscription.
- Billing: Subscriptions are billed in advance on a recurring basis (monthly or annual).
- Cancellations: You may cancel your subscription at any time via the app settings. Access will continue until the end of the current paid billing cycle.
- Refunds: As per our Refund Policy, payments are non-refundable.
5. Intellectual Property
Ownership: TaxChat Australia Pty Ltd retains all rights, title, and interest in the Service, including the AI orchestration engine, the conversational interface, and all associated software and branding.
License: We grant you a limited, non-exclusive, non-transferable license to use the Service for personal or business tax preparation purposes.
6. Data & Privacy
Your use of the Service is governed by our Privacy Policy. You acknowledge that:
- Data is stored on secure servers within Australia.
- You grant us the right to process your data (including via third-party AI interfaces) for the sole purpose of providing the Service, subject to our strict data masking and encryption protocols.
7. Prohibited Conduct
You agree not to:
- Use the Service for any fraudulent or illegal activity (e.g., submitting fake receipts).
- Attempt to reverse-engineer, decompile, or extract the source code of the AI engine.
- Use the Service to provide tax services to third parties for a fee (unless you are an authorized Partner Agent).
8. Limitation of Liability
To the maximum extent permitted by the Australian Consumer Law:
- TaxChat Australia Pty Ltd is not liable for any tax penalties, interest, or loss of refunds resulting from inaccurate data entry or the failure of a user to verify AI outputs.
- Our total liability for any claim arising out of the Service is limited to the amount you paid us for the Service in the 12 months preceding the claim.
9. Termination
We reserve the right to suspend or terminate your account if you breach these Terms, fail to pay subscription fees, or if we suspect fraudulent activity.
10. Governing Law
These Terms are governed by the laws of Victoria, Australia. Any disputes will be resolved in the courts of that jurisdiction.
11. Changes to Terms
We may update these Terms from time to time. We will notify you of significant changes via the app or email. Continued use of the Service after changes constitutes acceptance of the new Terms.
